These Terms of Service ("Terms") govern your access to and use of the Daisy Bellee marketplace, websites, and mobile applications (together, the "Platform"), operated by PARINUUT FASSHION (I) PRIVATE LIMITED, CIN U47820DL2023PTC411350, with its registered office at House No 1468, Third Floor, Left Side, Gali No 13, Govindpuri Kalkaji, New Delhi 110019, India ("Daisy Bellee", "we", "us"). By creating an account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.

1. What Daisy Bellee is

Daisy Bellee is a business-to-business (B2B) connect platform. We help verified manufacturers, wholesalers, distributors, and retail buyers discover one another, publish product listings and catalogues, and communicate about trade enquiries.

Daisy Bellee is a discovery and connection service, not a party to any transaction between buyers and sellers. We do not manufacture, stock, sell, ship, or take title to any goods listed on the Platform. Contracts for the supply of goods are formed directly between the buyer and the seller.

2. Eligibility and accounts

  • You must be at least 18 years old and authorised to act on behalf of the business you register.
  • You must provide accurate registration details, including a valid mobile number and, where applicable, your GSTIN and business information.
  • You are responsible for all activity under your account and for keeping your login credentials confidential.
  • We may verify business details and may suspend or refuse accounts that we reasonably believe are fraudulent, misrepresented, or non-compliant.

3. Subscriptions and paid plans

Some Platform features (such as extended buyer enquiry quotas, catalogue slots, and enhanced visibility) are offered through paid subscription plans.

  • Where you pay. Subscriptions are purchased only on daisybellee.com, through our secure web checkout processed by our payment partner PayU**. The mobile apps do not sell anything: they contain no purchase flow and no in-app payment. Whatever plan is active on your account is what the apps show.
  • Billing and auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled beforehand.
  • Taxes. Prices are shown in Indian Rupees (INR) and are inclusive or exclusive of GST as indicated at checkout. Applicable taxes are your responsibility where the law so provides.
  • Changes. We may change plan features or pricing on a prospective basis with reasonable notice. Changes do not affect the period you have already paid for.

Cancellations and refunds are governed by our Refund & Cancellation Policy.

4. Listings, catalogues, and acceptable use

You are solely responsible for the content you post, including listings, catalogues, images, prices, specifications, and messages. You agree that you will not:

  • List counterfeit, replica, stolen, recalled, or otherwise unlawful goods, or goods you are not authorised to sell;
  • Misrepresent product identity, origin, quality, certification, or price;
  • Post content that is false, defamatory, obscene, infringing, or that violates any third party's intellectual-property or other rights;
  • Circumvent, scrape, or place undue load on the Platform, or attempt to access data you are not authorised to access;
  • Use the Platform to send spam, run pyramid or "money-circulation" schemes, or solicit business unrelated to legitimate trade;
  • Harass, threaten, or abuse other users.

Our Community & Content Policy describes prohibited content and moderation in more detail. We may remove content and suspend accounts that breach these Terms.

5. Shipping and fulfilment

Daisy Bellee does not provide shipping, logistics, escrow, or payment- collection services for trades between users. Delivery, payment terms, inspection, warranties, and returns of traded goods are agreed and fulfilled directly between buyer and seller. Any references to "shipping" in a listing are between the transacting parties and are not our responsibility.

6. Intellectual property

The Platform, including its software, design, and trademarks, is owned by PARINUUT FASSHION (I) PRIVATE LIMITED and its licensors. You retain ownership of the content you upload but grant us a non-exclusive, worldwide, royalty-free licence to host, display, and distribute that content on the Platform for the purpose of operating and promoting the service.

7. Disclaimers

The Platform is provided on an "as is" and "as available" basis. We do not guarantee the accuracy of listings, the identity or solvency of any user, or the quality, safety, or legality of any goods offered. You are responsible for carrying out your own due diligence before transacting. We disclaim all warranties to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by applicable law, Daisy Bellee and PARINUUT FASSHION (I) PRIVATE LIMITED will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, goodwill, or data, arising out of or in connection with your use of the Platform or any transaction between users. Our total aggregate liability for any claim relating to the Platform will not exceed the amount you paid to us for subscriptions in the twelve months preceding the claim.

9. Indemnity

You agree to indemnify and hold harmless PARINUUT FASSHION (I) PRIVATE LIMITED from any claims, losses, and expenses arising out of your content, your use of the Platform, your breach of these Terms, or any dispute between you and another user.

10. Suspension and termination

We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Platform and its users. You may stop using the Platform and delete your account at any time (see our Account Deletion Policy).

11. Governing law and disputes

These Terms are governed by the laws of India. Subject to any applicable consumer-protection rights, the courts at New Delhi, India will have exclusive jurisdiction over any dispute arising from these Terms or the Platform.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by other reasonable means. Continued use after changes take effect constitutes acceptance.

13. Contact and grievances

Questions about these Terms can be sent to info@daisybellee.com. Complaints about content or conduct on the Platform go to our Grievance Officer, Deepak Sharma, Grievance Officer, at grievance@daisybellee.com or by post to the registered office above. We acknowledge grievances within 24 hours and resolve them within 15 days, as the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 require.
